Terms of Trade

01. Service charge:

Labour: Computers/Laser printers$80.00 + GSTper Hour
Labour: Laptops/Network$90.00 + GSTper Hour
Minimum Labor charge $40.00 + GST

Call out fee:

0 KM - 10 KM: $40 + GST11 KM - 30 KM: $50 + GST>30 KM: $60 + GST
Minimum fee: $40 + gst (prepaid, deducted from total balance on job completion)

02. Warranty:

Service - 2 months labour for the same fault, Products - Manufacturers warranty

03. Business Hours

9.00AM to 5.30PM Monday to Friday.

04. Estimates

Initial inspection fee of 40+ GST is payable when booking a machine for service or estimate. If requested by the Customer free estimates can be provided for all repairs costing above $80 & in case machines are not repaired for any reason such as high estimate, no availability of parts, etc there will be minimum charge applicable to Customer. NZ Powercom takes no responsibility to return the machine in the same fault condition as the operation of faulty machines are unpredictable. Though all customers' machines are covered by Insurance against theft & natural disasters while being repaired, no responsibility would be accepted in regard to damage or any other form of losses due to such incidents. In such cases standard policies & guidelines of NZ Powercom's Insurance company would be followed. The call-out fee is payable for onsite inspections.

05. Payment terms:

Payment of all Goods & Services must be made strictly in cash, EFTPOS crdit card or Direct Credit unless an account has been set up for payment in 7 days from date of invoice OR on the 20th of the month.

06. Quotation For Products & Services

(a) Unless otherwise agreed the quotation shall be valid for five (5) days from the date of issue; & (b) The quotation shall be exclusive of goods & service tax unless specifically stated to the contrary; (c) NZ Powercom reserve the right to alter the quotation because of circumstances beyond its control.

Where Products are required in addition to the quotation the Customer agrees to pay for the additional cost of such Products.

07. Title & Security (Personal Property Securities Act 1999)

Title in any Products supplied by Powercom passes to the Customer only when the Customer has made payment in full for all Products provided by Powercom & of all other sums due to Powercom by the Customer on any account whatsoever. Until all sums due to Powercom by the Customer have been paid in full, Powercom has a security interest in all Products.

If the Products are attached, fixed, or incorporated into any property of the Customer, by way of any manufacturing or assembly process by the Customer or any third party, title in the Products shall remain with Powercom until the Customer has made payment for all Products, & where those Products are mixed with other property so as to be part of or a constituent of any new Products, title to these new Products shall be deemed to be assigned to Powercom as security for the full satisfaction by the Customer of the full amount owing between Powercom & Customer.

The Customer gives irrevocable authority to NZ Powercom to enter any premises occupied by the Customer or on which Products are situated at any reasonable time after default by the Customer or before default if Powercom believes a default is likely & remove & repossess any Products & any other property to which Products are attached or in which Products are incorporated. NZ Powercom shall not be liable for any costs, damages, expenses or losses incurred by the Customer or any third party as a result of this action, nor liable in contract or in tort or otherwise in any way whatsoever unless by statuette such liability cannot be excluded. Powercom may either resell any repossessed Products & credit the Customer's account with the net proceeds of sale (after deduction of all repossession, storage, selling & other costs) or may retain any possessed Products & credit the Customer's account with the invoice value thereof less sum as Powercom reasonably determines on account of wear & tear, depreciation, obsolescence, loss of profits & costs.

Where Products are retained by Powercom pursuant to the previous clause the Customer waives the right to receive notice under s.120 of the Personal Property Securities Act 1999 ("PPSA") & to object under s.121 of the PPSA.

The following shall constitute defaults by the Customer: (a) Non payment of any sum by the due date. (b)The Customer intimates that it will not pay any sum by the due date. (c) Any Products are seized by any other creditor of the Customer or any other creditor intimates that intends to seize Products. (d) Any Products in the possession of the Customer are materially damaged while any sum due from the Customer to Powercom remains unpaid. (e) The Customer is bankrupted or put into liquidation or a receiver is appointed to any of the Customer's assets or a landlord distains against any of the Customer's assets. (f) A Court judgment is entered against the Customer & remains unsatisfied for seven (7) days. (g) Any material adverse change in the financial position of the Customer.

If the Credit Repossession Act applies to any transaction between the Customer & Powercom, the Customer has the rights provided in that Act despite anything contained in these terms & conditions of trade.

08. Security Interest For Service Providers

The Customer gives NZ Powercom a security interest in all of the Customer's present & after-acquired property that NZ Powercom has performed services on or to or in which products or materials supplied or financed by Powercom have been attached or incorporated.

09. Payment Allocation

NZ Powercom may in its discretion allocate any payment received from the Customer towards any invoice that Powercom determines & may do so at the time of receipt or at any time afterwards & on default by the Customer may reallocate any payments previously received & allocated. In the absence of any payment allocation by NZ Powercom, payment shall be deemed to be allocated in such manner as preserves the maximum value of Powercom's purchase money security interest in Products.

10. General Lien

The Customer agrees that Powercom may exercise a general lien against any Products or property belonging to the Customer that is in possession of Powercom for all sums outstanding under this contract & any other contract to which the Customer & Powercom are parties.

If the lien is not satisfied within seven (7) days of the due date NZ Powercom may, having given notice of the lien at its option either: (a) Remove such Products & store them in such a place & in such & in such a manner as Powercom shall think it fit & proper & at the risk of the Customer; or (b) Sell such Products or part thereof upon such terms as it shall think fit & apply the proceeds in or towards discharge of the lien & costs of sale without being liable to any person for damage caused.

11. Disputes

No claim relating to Products will be considered unless made within forty eight (48) hours of delivery.

12. The Customer must ensure that the data in the machine is backed up. Although every care is taken, No responsibility is accepted for lost or damaged data.

13. Repaired goods must be collected within seven (7) working days of the Customer being notified. Goods not collected within 60 days of Repair will be sold to recover costs. Free Warranty repairs are as per the manufacturer's warranty terms.

14. Miscellaneous

NZ Powercom shall not be liable for delay or failure to perform its obligations if the cause of the delay or failure is beyond its control. Failure by NZ Powercom to enforce any of the terms & conditions contained in this contract shall not be deemed to be a waiver of any rights or obligations NZ Powercom has under its contract. If any provision of this contract shall be invalid, void or illegal or unenforceable the validity existence, legality & enforceability of the remaining provisions shall not be affected, prejudiced or impaired

The client shall not assign all or any of its rights or obligations under this contract without the written consent of NZ Powercom.

Where these terms & conditions of trade are at variance with the order or instructions from the Customer these terms & conditions of trade shall prevail.
